This electronic record is generated by a computer system and does not require any physical or digital signatures, as permitted under Section 4 of the IT Act, 2000, for it to be recognized as a valid and enforceable contract under the Indian Contract Act, 1872.

These Terms and Conditions also incorporate, by reference, all applicable policies published on the Website, including the Privacy Policy, Returns & Refunds Policy, Shipping Policy, Grievance Redressal Policy, and any other policies that may be added or updated from time to time.

The Site is owned and operated by Kingstitch, registered under applicable Indian laws. Any reference to the Site shall also include any successor websites, updated versions, mobile applications, desktop applications, or technological upgrades that may be introduced in the future. The Website enables users to browse, select, and purchase apparel, clothing, and related fashion products (“Products”).

b. Definition of User

For the purpose of these Terms and Conditions, “You,” “User,” or “Your” refers to:

Any natural or legal person who has registered on the Site by providing the required details, or
Any person who accesses, browses, or transacts on the Site without registering.

Unless the context requires otherwise, these terms shall include your legal heirs, representatives, successors, liquidators, administrators, and permitted assigns.

Misuse of the Site, fraudulent activities, or violations of applicable laws may result in suspension or termination of your access.

h. Consumer Information and Disclosures

Kingstitch is committed to maintaining transparency and ensuring compliance with all consumer protection laws applicable in India. All essential information regarding pricing, product descriptions, delivery timelines, return eligibility, refund processes, grievance handling, and privacy practices is provided on the Website through the relevant policies. You are advised to review all such information carefully before making any purchase or engaging with the Site.

We are committed to helping users make fully informed purchase decisions. Accordingly, the following disclosures are provided:

ii. Returns, Refunds & Exchanges

Our policies governing returns, refunds, exchanges, eligibility criteria, and timelines are detailed in the Returns & Refunds Policy available on the Site.Users will be informed of any applicable return shipping charges at the time they initiate a return or exchange request.

iii. Payment Methods & Chargeback

The Site supports multiple payment methods, including UPI, debit/credit cards, net banking, digital wallets, and Cash on Delivery (COD), where available.All applicable fees—such as convenience charges, gateway fees, or COD charges—will be displayed at checkout.Chargebacks and transaction disputes are governed solely by the policies of your issuing bank, card network, or payment service provider.
Kingstitch does not control or influence the outcome of such claims and cannot be held liable for any delays, rejections, or resolutions provided by these entities.
Users must initiate any chargeback directly with their bank or payment provider.

iv. Complaints & Grievances

In case of any complaint or dispute regarding any Product or service, you may contact our Customer Support Team or Grievance solving team as detailed under Para 25 of these Terms. Upon receipt of a complaint, a unique ticket number will be generated to help you track the status of your query.

2. CONSENT TO RECEIVE COMMUNICATION

By registering on the Site or making a purchase, you consent to receive administrative, transactional, promotional, and service-related communications from Kingstitch and its service partners via calls, SMS, WhatsApp, or email.
These communications may include order updates, account notifications, promotional offers, or product-related information.You may opt out of promotional communications at any time by using the UNSUBSCRIBE link available in our emails. For further details, please refer to our Privacy Policy. Kingstitch shall not be responsible for the content or delivery failures of promotional emails, SMS/MMS, or WhatsApp messages. All offers mentioned in such communications are subject to change without prior notice. By placing an order, you acknowledge that you are making an offer to purchase the selected Products in accordance with these Terms and Conditions.

3. ELIGIBILITY AND CREATION OF AN ACCOUNT

a. Membership Eligibility

Only individuals who are legally competent to contract under Indian law—including the Indian Contract Act, 1872—may use the Site or purchase Products. Persons considered “incompetent to contract,” including minors and undischarged insolvents, are not eligible to register or purchase Products. By using the Site, you represent and warrant that you are at least 18 years old and fully capable of understanding and agreeing to these Terms and Conditions. Minors (under 18 years) may not register or transact on the Site.If a minor wishes to purchase a Product, the transaction must be made by a parent or legal guardian who is a registered user.

Kingstitch reserves the right to terminate your membership if it is discovered that you are under 18 years of age.

By doing so, you authorize Kingstitch to collect and process authentication information from such accounts, in accordance with your chosen settings.

You must not allow any third party to use your account, and you remain responsible for all activity conducted through it. You will receive site-related communications as part of your registration; however, you may manage preferences for non-essential communications through your account settings whenever available.

c. Accuracy of Information

You agree to provide accurate, complete, and up-to-date information while registering or using the Site. Kingstitch reserves the right to verify such information at any time.If the information provided is found to be false, incomplete, inaccurate, or outdated, Kingstitch may restrict access, suspend your account, or terminate your use of the Site.Kingstitch shall not be liable for any inability to provide services due to incorrect or incomplete information provided by you.

d. Account Security

You are responsible for maintaining the confidentiality of your login credentials.
You will be held accountable for all actions taken using your account, whether by you, your family members, or any third party.Kingstitch shall not entertain disputes arising from misuse of your account by any person known or unknown to you. You must notify us immediately if you suspect unauthorized access or any security breach.

e. Right to Restrict or Terminate Access

Kingstitch reserves the right, at its sole discretion, to:

Refuse service

Terminate or suspend accounts

Restrict access to the Site

Remove or edit content

Unauthorized attempts to access secure or restricted areas may lead to legal action.

f. Payment Instrument Warranty

You confirm that any credit/debit card or payment instrument used on the Site belongs to you and that you are authorized to use it.
Kingstitch shall not be liable for any unauthorized use of payment instruments.

g. Use of Personal Information & Site Security

By using the Site, you authorize Kingstitch to process your personal information in accordance with these Terms and our Privacy Policy.Although we adopt reasonable security practices, no system is entirely immune to risks such as hacking, viruses, or technical malfunctions. By using the Site, you accept that such risks may exist and agree that Kingstitch shall not be held liable for any loss or unauthorized access arising from such incidents.

4. YOUR INFORMATION AND USER RESPONSIBILITY

a. Your Information; Prohibited Content; Posting Guidelines

i. Definition & Responsibility

“Your Information” includes any data, text, images, feedback, communication, or content you provide to Kingstitch—during registration, while making a purchase, through customer support forms, emails, reviews, comments, or any interactive feature on the Site. You are solely responsible for the legality, accuracy, and appropriateness of Your Information. Kingstitch acts only as a passive platform for hosting and publishing Your Information as permitted by the features of the Site and is not liable for any consequences arising from content you upload or share.

ii. Prohibited or Restricted Content

You shall not host, upload, publish, transmit, update, or share any information or content that:

a. Belongs to another person and to which you have no rights;b. Is harmful, harassing, defamatory, libellous, obscene, pornographic, paedophilic, invasive of another’s privacy (including bodily privacy), or insulting/abusive based on gender, caste, religion, ethnicity, race, or nationality;c. Is harmful to children;d. Infringes intellectual property rights, including copyright, trademark, or patent;e. Misleads or deceives about the origin of any message, or knowingly communicates false, misleading, untrue, or government-flagged misinformation;f. Impersonates any person or entity;g. Threatens the unity, integrity, security, defence, or sovereignty of India, public order, or friendly relations with foreign states, or incites any cognisable offence;h. Contains viruses, malware, or malicious code intended to disrupt or damage systems or data;i. Promotes or advertises illegal online games, surrogate advertisements, or unverified gaming content;j. Violates any applicable law in India;k. Causes Kingstitch to incur liability or lose the services of its internet service providers or suppliers.

These restrictions ensure that the Site remains safe, secure, and compliant for all Users.

Explanation & Enforcement

For the purpose of this clause, “harm” or “user harm” refers to any negative or detrimental impact on a User or child, as applicable.

Kingstitch reserves the right to:immediately remove non-compliant content,suspend or terminate your access to the Site,cooperate with legal authorities when required.

This enforcement is essential to maintain the safety and integrity of the Site.

iii. Monitoring and Moderation

The Site may allow Users to send emails, share messages, upload content, or post reviews (“Postings”).
Kingstitch is not obligated to monitor or review such content and assumes no liability for User-generated content. However, Kingstitch may, at its sole discretion:review content from time to time,moderate or remove any Posting,

block any User found violating these Terms.

iv. License for User-Submitted Content

By submitting any information or content to Kingstitch, you grant Kingstitch a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to:

Use,reproduce,adapt,modify,publish,translate,distribute,display

such content in any media now existing or developed in the future.

This license is used solely to operate, enhance, market, or improve the Site and its services, in accordance with these Terms and our Privacy Policy.

b. User Prohibitions

You are strictly prohibited from engaging in any of the following activities:

i. Interfering with or attempting to compromise the integrity, security, or performance of the Site;
ii. Posting or transmitting any materials or links that disrupt or negatively impact Kingstitch’s operations or business interests;
iii. Submitting false, inaccurate, or incomplete information;
iv. Using automated tools—including bots, crawlers, spiders, or scraping tools—to access or extract data from the Site;
v. Attempting to reverse-engineer, decompile, tamper with, or otherwise modify any part of the Site;
vi. Copying, duplicating, reproducing, or misusing content, trademarks, logos, product images, or intellectual property without authorization;
vii. Framing, hotlinking, deep linking, mirroring, scraping, or embedding any part of the Site without express written permission.

Enforcement & Retention

Upon becoming aware of any violation—whether directly or through a complaint—Kingstitch may:

disable or remove offending content,

suspend or terminate the User’s access,

preserve and retain records of the violation for at least 90 days or longer if required by law.

Any breach of these prohibitions or applicable laws may result in immediate legal action.

5. EQUIPMENT

You are solely responsible for obtaining, maintaining, and updating all equipment necessary to access and use the Site, including but not limited to mobile devices, computers, software, and internet connectivity. All costs associated with such equipment and services shall be borne by you.

Kingstitch shall not be liable for any damage to your equipment arising from your access to or use of the Site. This includes, without limitation, damages caused by viruses, malware, spyware, Trojans, or other malicious code that may affect your device.

6. COLOURS

We make every reasonable effort to display the colours and appearance of our Products on the Site as accurately as possible. However, the colours you see may vary due to differences in screen settings, device types, lighting conditions, or other technical factors beyond our control.

Accordingly, Kingstitch shall not be held liable for any variations between the colours displayed on the Site and the actual Product delivered. While we will address any technical issues within our control promptly, no claims for colour discrepancies shall be entertained on this ground alone.

7. ELECTRONIC COMMUNICATIONS

a. Consent to Electronic Communication
By accessing the Site or communicating with Kingstitch electronically—via email, SMS, push notifications, or by accessing the Site—you consent to receive communications from us in electronic form. All agreements, notices, disclosures, and other communications sent electronically shall be considered legally valid and sufficient.

b. Service of Notice
Your registered email address, mobile number, and/or any verified third-party login used during registration shall serve as your “designated electronic address.” Any communication sent to these addresses shall be deemed duly delivered and legally effective.

8. LIMITED LICENCE AND SITE ACCESS

We grant you a limited, non-exclusive, non-transferable, non-sub-licensable, and revocable licence to access and make personal use of the Site. This licence strictly prohibits:

· Downloading, copying, or using account or Product information for the benefit of another vendor or third party

· Unauthorized caching, linking, or framing of the Site

· Uploading or transmitting content you do not have rights to share

· Uploading or transmitting any harmful code, including viruses or malware

· Actions that impose an unreasonable or disproportionate load on our infrastructure

· Use of data mining tools, robots, or similar data extraction methods

· Attempting to bypass or violate any security or access controls on the Site

Any unauthorized use of the Site shall lead to immediate termination of the licence granted to you.

9. PRICING AND AVAILABILITY

a. General Pricing Terms
We aim to offer competitive pricing on all Products listed on the Site; however, we do not guarantee that the prices are the lowest available in any region. Prices and availability are subject to change at our sole discretion without prior notice.

b. Pricing or Information Errors
Occasionally, technical or human errors may result in incorrect product or pricing information. In such cases, Kingstitch reserves the right to modify or cancel any affected order. If necessary, we may contact you for further instructions or cancel the order and notify you accordingly.

If an order is accepted despite a pricing error, the amount may be charged prior to dispatch. In the event of a cancellation after payment, the paid amount will be refunded to the original payment method. Refunds are not applicable for Cash on Delivery (COD) orders.

c. Payment Gateway Disclaimer
Transactions are processed through secure third-party payment gateway partners. Kingstitch is not responsible for:

· transaction errors,

· unauthorized transactions,

· payment failures,

· gateway downtime or technical malfunction.

For payment-related issues, you must contact your payment provider directly.

10. CANCELLATION BY KINGSTITCH

We reserve the right to refuse or cancel any order, in whole or in part, at our sole discretion. This may occur due to:

· technical errors or system malfunctions

· incorrect pricing or product information

· product quality concerns

· limitations on available quantities

· failure of verification processes

· logistics or operational issues

If your order is cancelled, we will notify you. Any payment already made will be refunded to the original payment method. Kingstitch shall not be liable for loss, damages, or claims arising from such cancellations.

11. CANCELLATION BY THE USER

You may request cancellation of an order; however, Kingstitch reserves the exclusive right to accept or reject such requests.

· Cancellations within 24 hours: If the order has not been processed or shipped, it will be cancelled and refunded.

· Cancellations after 24 hours: If the order has already been processed or shipped, cancellations cannot be accepted. Cancellation may only be initiated after delivery through the return/exchange process as per the Returns & Refunds Policy.

Kingstitch’s decision regarding whether an order has been processed or shipped shall be final and binding.

12. FRAUDULENT OR DECLINED TRANSACTIONS

Kingstitch maintains systems to monitor fraudulent or suspicious activity. Users found engaging in fraud—including maintaining multiple accounts or manipulating transactions—may face:

· deletion of their account,

· cancellation of all past and pending orders,

· recovery of product costs, collection charges, and legal fees,

· legal action under applicable law.

No refunds will be issued for orders deemed fraudulent or unauthorized.

Kingstitch is not responsible for losses arising from declined transactions, including declines caused by bank-imposed limits, insufficient balance, or payment provider restrictions.

13. RETURNS, REFUNDS & EXCHANGES

All returns, exchanges, and refunds are governed by the Kingstitch Returns & Refunds Policy available on the Site.
The policy in effect on the date of your order shall apply.
This policy is incorporated herein by reference and forms an integral part of these Terms and Conditions.

14. PAYMENT INFORMATION AND RESPONSIBILITY

By making a purchase on the Site, you confirm that:

· all payment details provided (credit/debit card, net banking, UPI, wallet, etc.) are accurate and lawfully owned by you;

· you are authorized to use the payment instrument;

· you will not provide information belonging to another person without authorization.

Payments are processed through third-party payment gateway partners. Kingstitch does not store your payment details except as required for fraud verification or compliance with law.

Kingstitch shall not be liable for:

· unauthorized or fraudulent use of your payment instruments,

· any loss due to compromised credentials,

· disputes related to payment authorization.

All responsibility for safeguarding payment credentials rests solely with you. Any claims for unauthorized transactions must be taken up directly with your bank or payment provider.

15. DISCLAIMERS
a. ALL CONTENT, INFORMATION, PRODUCTS, AND SERVICES AVAILABLE ON OR THROUGH THE SITE, OR OBTAINED FROM ANY WEBSITE LINKED TO THE SITE, ARE PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTY OF ANY KIND. KINGSTITCH MAKES NO EXPRESS, IMPLIED, OR STATUTORY REPRESENTATIONS OR WARRANTIES REGARDING THE OPERATION OF THE SITE OR THE ACCURACY, COMPLETENESS, RELIABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT OF ANY CONTENT OR PRODUCTS OFFERED. KINGSTITCH DOES NOT GUARANTEE THAT THE SITE WILL FUNCTION UNINTERRUPTED, SECURELY, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS HOSTING IT ARE FREE OF VIRUSES OR HARMFUL COMPONENTS. YOUR USE OF THE SITE IS ENTIRELY AT YOUR OWN RISK, AND KINGSTITCH SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING FROM INACCURACIES, OMISSIONS, DELAYS, INTERRUPTIONS, TECHNICAL FAILURES, THIRD-PARTY SERVICES, OR ANY RELIANCE PLACED ON INFORMATION OBTAINED THROUGH THE SITE. THE COMPANY, ITS AFFILIATES, ASSOCIATES, SERVICE PROVIDERS, AND TECHNOLOGY PARTNERS MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, SOFTWARE, TEXT, GRAPHICS, LINKS, OR COMMUNICATIONS PROVIDED ON OR THROUGH THE SITE. THE COMPANY MAY ALSO DISCONTINUE THE DISSEMINATION OF ANY CATEGORY OF INFORMATION AND MAY CHANGE OR ELIMINATE ANY TRANSMISSION METHOD, TRANSMISSION SPEED, OR OTHER SIGNAL CHARACTERISTICS AT ITS SOLE DISCRETION. THE USER ACKNOWLEDGES THAT, ALTHOUGH THE INTERNET IS GENERALLY A SECURE MEDIUM, INTERRUPTIONS, TECHNICAL FAILURES, AND DATA LOSS MAY OCCUR, AND KINGSTITCH SHALL NOT BE RESPONSIBLE FOR ANY DATA LOST OR CORRUPTED WHILE TRANSMITTING INFORMATION OVER THE INTERNET.

WHILE KINGSTITCH STRIVES TO PROVIDE ACCURATE, CURRENT, AND RELIABLE INFORMATION ON THE SITE, THERE MAY BE INADVERTENT TECHNICAL OR FACTUAL INACCURACIES, TYPOGRAPHICAL ERRORS, OR SYSTEM MALFUNCTIONS. KINGSTITCH RESERVES THE RIGHT TO CANCEL, MODIFY, OR ADJUST ANY ORDER AFFECTED BY SUCH ERRORS, MALFUNCTIONS, OR INACCURACIES. YOUR UNDERSTANDING AND COOPERATION ARE APPRECIATED.

d. 17. INDEMNITY

YOU AGREE TO FULLY INDEMNIFY, DEFEND, AND HOLD HARMLESS KINGSTITCH, ITS SUBSIDIARIES, AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, AGENTS, AND EMPLOYEES FROM ANY CLAIMS, DEMANDS, ACTIONS, LIABILITIES, PENALTIES, OR COSTS (INCLUDING REASONABLE ATTORNEYS' FEES) MADE BY ANY THIRD PARTY ARISING OUT OF OR RELATED TO YOUR BREACH OF THESE TERMS AND CONDITIONS, ANY DOCUMENTS INCORPORATED BY REFERENCE, YOUR VIOLATION OF ANY APPLICABLE LAW, RULE, OR REGULATION, OR YOUR INFRINGEMENT OF ANY THIRD-PARTY RIGHTS. THIS INDEMNIFICATION OBLIGATION SHALL SURVIVE THE TERMINATION OR EXPIRATION OF THESE TERMS AND CONDITIONS.

18. BILLING

The prices of all Kingstitch products are inclusive of applicable Goods and Services Tax (GST) as per prevailing laws. The GST applied to your order will correspond to the tax rates applicable to the shipping destination. Depending on the delivery location, the tax rate may include a combination of state and local taxes. We also reserve the right to levy taxes on shipping, handling, and delivery fees wherever required under applicable law.

Kingstitch will always display the total payable amount as a single figure, inclusive of all GST charges. A detailed price breakdown will also be provided, clearly showing the base product price, applicable GST, and any additional mandatory or optional charges such as delivery fees, packaging, postage, or handling charges.

19. SHIPPING AND DELIVERY

a.Kingstitch strives to deliver products to users within 3-4 weeks from the date of sale closure (and within 24-48 hours from date of dispatch during sale periods). however, these timelines are indicative only and not guaranteed, as delivery may be affected by factors beyond our control, including but not limited to the shipping location and operational conditions.

delivery may also be delayed due to various reasons, including, without limitation, delays by courier partners or transporters, strikes, limited product stock or availability, issues identified during kingstitch’s quality audit, errors or inaccuracies in product or pricing information caused by technical glitches, incorrect order processing, non-receipt or rejection of payment by banks or payment service providers, public holidays, force majeure events, or any other circumstances beyond kingstitch’s reasonable control.

b. we are not responsible for any delays caused by the factors mentioned above, including delays by third-party delivery agencies or service providers, and you shall not be entitled to any damages or monetary compensation of any kind in the event of such delays.

c. In the event we are unable to deliver the confirmed order(s) as mentioned above and payment for such order(s) has already been made by you through credit card, debit card, net banking, upi, wallets, or other permitted payment methods, the amount paid at the time of placing the order will be refunded or reversed to the original source of payment. no refunds shall be applicable for orders placed under the cash on delivery (cod) option.

d. we reserve the right to deliver the products either in full or by instalments, as deemed appropriate. if the products are delivered in instalments, each delivery shall constitute a separate and independent contract. you shall not treat the overall contract as repudiated if we fail to deliver any one or more instalments, nor shall you have a claim in respect of any single instalment. if you fail to take delivery of the products, we may, at our discretion, charge you for any additional shipping, re-delivery, or storage costs incurred as a result of such failure.

e. please note that we insure each purchase while it is in transit until it is delivered to your specified delivery address. we may require a signature or confirmation upon delivery for any products, which may include signing a delivery confirmation document or providing confirmation through a one-time password (otp) sent to the registered mobile number. at that point, responsibility for the purchased products passes to you. if you have specified a third-party recipient for delivery (for example, as a gift), you agree that a signature or otp confirmation by them, or at that delivery address, shall constitute valid proof of delivery and fulfillment by us, with responsibility for the product passing to you at that point.

f. You agree and acknowledge that any claims regarding order delivery, including non-receipt, non-delivery, or signature verification, must be notified to kingstitch within 3 (three) calendar days from the date of delivery as reflected on the site or on your account page/dashboard (for registered members), or as per the delivery confirmation email sent to you (for guest users), whichever is applicable. failure to notify us of non-receipt or non-delivery within this time period shall be deemed as acceptance of delivery for that transaction. we disclaim any liability or responsibility for claims regarding non-delivery or non-receipt of orders after the above-mentioned 3 (three) calendar days. please note that open-box delivery is not offered for cash on delivery (cod) orders. delivery personnel are not authorized to wait while you open the package or assist in unboxing the product. you are requested to accept the package, make the required payment, and inspect the product thereafter in accordance with our returns, refunds, or exchange policies.

Notice: Except as explicitly stated otherwise, any notices shall be sent by postal mail to Kingstitch, plot 364/432, Mining Road, Kendujhar - 758001, odisha, or to the email address you provide during the registration process. a notice sent by email shall be deemed given 24 hours after it is sent, unless the sender is notified that the email address is invalid. alternatively, notice may be sent by certified mail, postage prepaid and return receipt requested, to the address provided during registration. in such case, notice shall be deemed given 3 days after the date of mailing.

c. Severability: If any clause of these terms and conditions is deemed invalid, void, or unenforceable for any reason, that clause shall be considered severable and shall not affect the validity or enforceability of the remaining clauses of these terms and conditions.

d. Entire Agreement: These terms and conditions, as amended from time to time, together with the privacy policy and any other policies, schedules, or annexures specifically attached or referred to herein, constitute the entire understanding and agreement between you and kingstitch with respect to the subject matter hereof and supersede all prior understandings, promises, representations, agreements, and negotiations, whether oral or written, between you and kingstitch.

Assignment: At kingstitch’s sole discretion, it may assign, novate, or transfer its rights and obligations under these terms and conditions without your prior express consent. the right to use the site is personal to you, and these terms and conditions are not transferable by you to any other person or entity.

22. TERMINATION/SUSPENSION
